COPIT TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By accessing and using the CopiT application and website (collectively, “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. CopiT reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the modified Terms.
2. USER ELIGIBILITY
You must be at least 18 years old to use CopiT. You warrant that all information you provide is accurate, complete, and truthful. You are responsible for maintaining the confidentiality of your account credentials and are responsible for all activity under your account.
3. USER ROLES AND RESPONSIBILITIES
CopiT has three user types: Buyers, Sellers, and Drivers. Each has specific responsibilities:
BUYERS: Browse and purchase items. Make offers on items. Arrange delivery or pickup. Pay through secure Stripe checkout. Provide an accurate delivery address. Rate sellers and drivers. Comply with local laws when purchasing items.
SELLERS: List items for sale accurately and honestly. Fulfill orders within agreed timeframes. Provide items in described condition. Refund or replace defective items per policy. Collect payment through CopiT. Comply with all applicable laws (no illegal items, no stolen goods, no counterfeit products). Comply with the prohibited items policy (weapons, hazardous materials, etc.).
DRIVERS: Accept delivery jobs at your discretion. Operate vehicles safely and legally. Maintain required insurance. Treat items and people with respect. Complete deliveries in a timely manner. Maintain your CopiT Driver rating. Comply with the Driver Agreement (separate legal document).
4. PROHIBITED CONTENT AND ACTIVITIES
You may not use CopiT to:
· List, sell, or purchase illegal items, stolen goods, counterfeit products, or items that violate local laws.
· Engage in fraud, scams, or misrepresentation.
· Harass, threaten, or abuse other users.
· Spam, phish, or conduct malware distribution.
· Violate intellectual property rights or commit trademark infringement.
· Create multiple accounts to evade restrictions or manipulate ratings.
· Resell CopiT services or create bots.
· Attempt to access CopiT systems without authorization.
· Engage in discrimination based on protected characteristics.
· Use the platform for money laundering or illegal financial activity.
· Use CopiT for human trafficking, exploitation, or sexual abuse material.
· Violate any local, state, or federal laws.
Violation of these prohibitions may result in immediate account suspension or permanent deactivation without warning.
5. PAYMENT PROCESSING AND ESCROW
All payments are processed through Stripe, a third-party payment processor. CopiT does not directly store credit card information. By making a payment, you authorize Stripe to process the transaction. CopiT uses escrow: when a buyer makes a purchase, funds are held in escrow. Funds are released to the seller upon delivery confirmation (or within 3–7 days for shipping orders). If a buyer initiates a dispute or chargeback, CopiT and Stripe investigate. Funds may be held pending dispute resolution. CopiT is not liable for payment processor errors or delays.
6. TRANSACTION FEES AND PRICING
CopiT charges the following fees:
· Transaction fee: 5% of the sale price with a $1.00 minimum (never exceeding the sale price) on every item sale (taken by CopiT; the exact fee is shown at checkout).
· Driver delivery fee: $6.99 base paid by the buyer (the driver receives $5.00 and CopiT receives a flat $1.99), plus a $0.50 per-mile distance surcharge paid by the buyer and passed 100% to the driver. Tips are optional and go 100% to the driver.
· Subscription fee: $10/month for Premium sellers (charged monthly, auto-renews unless cancelled).
All prices are in USD and do not include local taxes. CopiT may change fees with 30 days notice to users.
7. RETURNS, REFUNDS, AND DISPUTES
Buyer Protection: If a buyer receives an item that does not match the listing (significantly different condition, missing parts, etc.), the buyer has 7 days to report a dispute. CopiT will investigate and either: approve a refund (seller refunds buyer through Stripe), approve a partial refund, or deny the claim if the item matches the listing. No refund is provided for buyer’s remorse or change of mind (the buyer must accept responsibility for offers made).
Seller Protection: If a buyer falsely claims an item doesn’t match the listing or is damaged, the seller can provide photo evidence or refuse the refund. CopiT sides with evidence (photos, descriptions, messages). Sellers can appeal CopiT’s decision.
Shipping Items: For nationwide shipping (DELIVERY items), the seller is responsible for shipping costs and safe packaging. If an item is lost or damaged in transit, the seller must file a claim with the shipper or refund the buyer. CopiT is not liable for shipping issues.
8. RATINGS, REVIEWS, AND REPUTATION
All users can rate each other 1–5 stars (in half-star increments). Ratings are based on user experience and verified transactions only. Users may leave written reviews with ratings. Reviews must be honest and cannot be fake, defamatory, or malicious. CopiT may remove reviews that violate this policy.
Verified badges (🏅) are earned by sellers who meet all four requirements: 50+ lifetime completed sales, 10+ sales per calendar month, a 4.5+ star average rating, and a 90%+ dispute resolution rate. Badges indicate trustworthiness, but CopiT does not guarantee seller quality.
9. INTELLECTUAL PROPERTY
CopiT owns all rights to the Platform, including design, technology, brand, and content created by CopiT. Users own listings and content they create. Users grant CopiT a worldwide, royalty-free license to use user content for marketing, analytics, and platform operations. Users may not use CopiT’s trademarks, logos, or brand without written permission. Unauthorized use of intellectual property will result in account termination and potential legal action.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPIT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY. COPIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COPIT IS NOT LIABLE FOR:
· Indirect, incidental, consequential, punitive, or special damages, even if advised of the possibility of such damages.
· Loss of profits, revenue, data, or use.
· Errors, omissions, or inaccuracies in content.
· Third-party content or actions.
· Technical glitches, downtime, or service interruptions.
· User conduct or disputes between users.
· Driver conduct or accidents (drivers are independent contractors).
· Payment processor errors or fraud.
COPIT’S LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNT PAID BY THE USER IN THE PAST 12 MONTHS.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless CopiT and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
· Your use of the Platform.
· Your violation of these Terms.
· Your violation of third-party rights or applicable laws.
· Your conduct or disputes involving other users.
· Claims by third parties related to your content or transactions.
12. TERMINATION
CopiT may suspend or terminate your account if:
· You violate these Terms.
· You engage in fraudulent or illegal activity.
· CopiT determines you pose a safety risk.
· Your account has no activity for 12+ months (you can reactivate).
· You breach another user’s rights or safety.
Upon termination, you lose access to the Platform. Outstanding funds (for sellers/drivers) are paid within 7 business days. CopiT may delete your account data 30 days after termination.
13. PRIVACY AND DATA
See the CopiT Privacy Policy (separate document) for information about how we collect, use, and protect your data. By using CopiT, you consent to our data practices as described in the Privacy Policy.
14. DISPUTE RESOLUTION
Disputes shall be resolved through binding arbitration, not court proceedings. You waive the right to a jury trial and class action. Arbitration is held in Columbus, Ohio under American Arbitration Association rules. Both parties share arbitration costs. This does not apply to intellectual property infringement claims.
15. GOVERNING LAW
These Terms are governed by Ohio law without regard to conflict of laws. You consent to the jurisdiction of Ohio courts.
